Hong Kong's regulators are very serious about holding the capital market's perceived gatekeepers accountable to maintain Hong Kong's role as a leading international financial centre. Company directors and officers face personal civil liability under the price-sensitive information (PSI) disclosure regime introduced last year; securities firms have been banned from advising on IPOs; and Legco is to soon consider IPO sponsor criminal liability and an overhaul of public accountant oversight.
This is at a time when there is ever-increasing competition between market participants (even stock exchanges, as seen by Alibaba's proposed IPO) and high-level concern regarding corruption and fraud at Mainland Chinese companies.
Institutional and retail investors rely on capital markets integrity to give them confidence to price, invest and trade in securities.
Quality capital markets relies on capital markets practitioners and gatekeepers to in turn ensure quality due diligence and disclosure, many of whom are in fact paid directly or indirectly by the same issuer company and shareholder clients and/or employers selling the securities.
Hence, the professionalism of such capital markets practitioners and gatekeepers is critical to capital markets integrity.
This presentation provides an overview of recent capital markets trends and a new industry-wide multi-stakeholder educational initiative to re-emphasize professionalism in client service excellence and to give voice to shared values of capital markets integrity. By bringing together investment bankers, lawyers, accountants, investors and regulators, as well as corporate disclosure professionals such as directors, CEOs, CFOs, company secretaries and general counsel who are ultimately responsible for timely disclosure of material information, it is hoped that capital markets professionals can also work together to improve efficiencies and promote innovation to 'grow the pie" to the benefit of all key stakeholders.
